Ototo v Koros (Environment and Land Appeal E035 of 2024) [2025] KEELC 6929 (KLR)
The bottom line
#A Kenyan land buyer who waited 26 years to sue lost because claims on land contracts expire, and arguments never written into the original case documents cannot save them.

#Whether the Appellant was entitled to specific performance of the Agreement for sale dated 20th December 1993
No. The suit filed in 2019, 26 years after the agreement, was statute barred under sections 4(1)(a) and 7 of the Limitation of Actions Act, and the trial court correctly dismissed it.
The agreement was made in December 1993 but the suit was not filed until 2019, 26 years later. A contract action must be brought within 6 years under section 4(1)(a), and an action to recover land within 12 years under section 7 of the Limitation of Actions Act. The claim was therefore unenforceable and the trial magistrate reached the correct conclusion.
Whether the unpleaded claim of adverse possession could be entertained
No. Adverse possession was not pleaded in the Plaint and was introduced only in submissions; parties are bound by their pleadings and submissions are not pleadings.
The Plaint dated 3rd June 2019 pleaded only specific performance; adverse possession surfaced in the plaintiff's submissions of 5th February 2024. Citing Daniel Toroitich Arap Moi v Mwangi Stephen Murithi on submissions not substituting for evidence, and IEBC v Stephen Mule on parties being bound by pleadings, the court held the claim was not before the trial court for determination and its dismissal was proper.
Whether the Respondent's counter-claim in respect of Transmara/Mapashi/210 was merited
No. The counter-claim was equally time barred and the particulars of fraud and illegality were not proven.
The Respondent sold 6 acres in Transmara/Mapashi/210 in 1993, yet complained of a fraudulent transfer of the whole parcel while the Appellant's title was issued in 1996. The counter-claim challenging the transfer was therefore brought outside the limitation period, and the pleaded fraud and illegality were not proven, so the trial court correctly rejected it.
Legal principles established
#- Submissions cannot take the place of pleadings or evidence; a claim raised only in submissions is not an issue for determination
- Parties are bound by their pleadings; evidence at variance with the pleadings goes to no issue and must be disregarded
- A suit based on a contract for the sale of land filed more than 12 years after the agreement is statute barred
