#Whether the 2nd defendant knew of and consented to the assignment of the sale agreement to the plaintiff
The court found the 2nd defendant was aware of and consented to the assignment, evidenced by a letter from Kale Maina & Bundotich Advocates dated 3rd June 2009 confirming no objection; the 2nd defendant was estopped from denying it.
The same firm of advocates acted for all parties. A letter from that firm confirmed the 2nd defendant had no objection to the assignment. The 2nd defendant did not sue the firm or call a partner to explain the letter, so the court accepted that the firm acted on instructions and that both the plaintiff and the 1st defendant relied on the representation of consent.
Whether the plaintiff breached the two agreements of sale
The plaintiff breached both agreements by failing to pay the balance of the purchase price by the completion date and by failing to pay rent as it fell due.
The plaintiff assumed the 1st defendant's obligations, including payment of the balance of Kshs. 6,390,000/- on or before 27th January, 2009, which she never paid. Clause 7.2 of the assignment agreement obliged her to keep paying rent until the purchase price was paid, and she failed to do so as and when it fell due.
Whether the 2nd defendant was entitled to vacant possession, rent and mesne profits
Following service of the 21-day completion notice and rescission, the plaintiff had no interest in the property; her continued occupation was trespass entitling the 2nd defendant to vacant possession, rent up to 10th August 2009 and mesne profits thereafter.
Clause 5.1 permitted rescission on failure to complete after notice; the notice was served on both the 1st defendant and the plaintiff on 20th July 2009. The plaintiff was liable for rent at Kshs. 25,000/- per month up to 10th August 2009, and mesne profits at Kshs. 25,000/- monthly from September 2009 to June 2015 and Kshs. 35,000/- monthly thereafter, subject to deductions for payments made.
